Terms of Service

THESE TERMS AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. THEY REQUIRE BINDING INDIVIDUAL ARBITRATION AND WAIVE CLASS ACTIONS. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND DISCOVERY AND APPELLATE RIGHTS ARE MORE LIMITED THAN IN COURT.

Renovia Health, Inc. is a technology company incorporated in Delaware. Renovia does not practice medicine, does not employ prescribing clinicians in a manner that influences their medical judgment, and does not dispense medication. Medical services are provided by independent, licensed clinicians and medical groups; medication is dispensed by licensed U.S. pharmacies.

You must be at least 18 years old, physically located in a state we serve, and able to form a binding contract. You agree to provide accurate, complete information — including your medical history and your location at the time of each visit — and to keep it current. Providing false information may result in denial of care or termination of your account.

Renovia provides a technology platform that connects you with independent clinicians, facilitates communication, and supports order, subscription, and shipment management. Website content is general information and is not medical advice. See our Medical Disclaimer and Important Safety Information.

Payment does not guarantee a prescription. A prescription is issued only if a licensed clinician determines treatment is medically appropriate for you. See our Prescription Disclaimer.

By using the services, you consent to receive care via telehealth, including asynchronous messaging and, where applicable, video or phone visits. You understand telehealth has limitations, that a clinician may determine an in-person evaluation is necessary, and that technology failures may delay care. Renovia is not an emergency service — call 911 in an emergency.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized use. We may suspend or terminate accounts that violate these terms or present a safety or security risk.

Plans are sold as recurring subscriptions unless stated otherwise. By purchasing, you authorize us and our payment processor to charge your payment method on a recurring basis at the price and interval shown at checkout, including applicable taxes and fees, until you cancel. Prices may change with advance notice.

You may cancel at any time before your next renewal date; cancellation takes effect at the end of the current billing period. Refund eligibility, prorations, and medication return restrictions are described in our Refund & Cancellation Policy, which is incorporated into these terms.

Shipments are dispatched by the dispensing pharmacy. Delivery timelines are estimates. You are responsible for providing an accurate, secure shipping address and for storing medication as directed on its labeling. Do not share prescription medication with anyone.

You consent to receive electronic communications, including emails and text messages related to your account, care, and orders. Marketing messages may be sent where permitted and can be stopped by unsubscribing or replying STOP. Message and data rates may apply.

You agree not to:

• Misrepresent your identity, medical history, age, or location.
• Resell, divert, or redistribute medication obtained through the platform.
• Interfere with, scrape, reverse engineer, or attempt unauthorized access to the services.
• Use the services for any unlawful purpose or in violation of any applicable regulation.

The site, its content, trademarks, logos, and software are owned by Renovia Health, Inc. or its licensors and are protected by intellectual property laws. You are granted a limited, revocable, non-exclusive license to use the services for personal, non-commercial purposes.

If you submit reviews, testimonials, photos, or other content that is not part of your medical record, you grant Renovia a non-exclusive, worldwide, royalty-free license to use, reproduce, and display it in connection with the services and marketing. You represent that you own or have rights to the content you submit.

The services may rely on or link to third parties such as pharmacies, laboratories, payment processors, and shipping carriers. We are not responsible for their acts, omissions, or terms.

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RENOVIA DOES NOT WARRANT ANY PARTICULAR HEALTH OUTCOME. RENOVIA IS NOT RESPONSIBLE FOR THE INDEPENDENT MEDICAL JUDGMENT OR CARE PROVIDED BY CLINICIANS OR FOR PHARMACY DISPENSING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENOVIA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA. RENOVIA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO RENOVIA IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Renovia Health, Inc., its affiliates, and their officers, employees, and agents from claims, damages, and expenses arising out of your use of the services, your content, or your violation of these terms or applicable law.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Any dispute arising out of or relating to these terms or the services will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, seated in Wilmington, Delaware, rather than in court, except that either party may bring an individual claim in small claims court. The arbitrator decides all issues except that a court decides the enforceability of the class action waiver.

Class action waiver. Disputes must be brought on an individual basis only. You and Renovia waive any right to participate in a class, collective, consolidated, or representative action.

Opt-out. You may opt out of arbitration by emailing taciano@renovia.health with your name and a statement that you decline arbitration, within 30 days of first accepting these terms. Opting out does not affect any other part of these terms.

These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Where arbitration does not apply, the exclusive venue is the state or federal courts located in Wilmington, Delaware.

We may modify these terms at any time. The "Last updated" date reflects the most recent revision, and continued use after changes take effect constitutes acceptance. If you do not agree, stop using the services and cancel your plan.

You may stop using the services at any time. We may suspend or terminate access for violations of these terms, suspected fraud, safety concerns, or where required by law. Sections that by their nature should survive termination will survive.

These terms, together with the policies referenced in them, are the entire agreement between you and Renovia. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
